Creator Rights Agreement

Creator Rights Agreement

Between Lumen Outdoor Co., Jordan Reyes (“Creator”) · Effective July 1, 2026

1. Engagement

Lumen Outdoor Co. (the “Brand”) engages Creator to produce four (4) short-form videos and twelve (12) still photographs featuring the Brand’s Summit jacket line (the “Content”) in accordance with the creative brief attached as Exhibit A.

2. Content License

Creator hereby grants to the Brand a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and distribute the Content, and Creator’s name and likeness as embodied therein, in any and all media now known or hereafter devised, without further compensation to Creator.

3. Ownership

As between the parties, Creator retains all right, title, and interest, including copyright, in and to the Content, subject only to the license granted in Section 2. Nothing herein shall be construed as a work made for hire.

4. Compensation and Revenue Share

The Brand shall pay Creator a flat fee of four thousand five hundred U.S. dollars ($4,500) within thirty (30) days of delivery, plus fifteen percent (15%) of Net Revenue from sales attributed to Creator’s affiliate code during the Term. “Net Revenue” means gross receipts less returns, taxes, and shipping.

5. Exclusivity

During the Term and for twelve (12) months following its expiration, Creator shall not create sponsored content for any competitor of the Brand in the outdoor apparel category.

6. Termination

The Brand may terminate this Agreement for convenience upon seven (7) days’ written notice. Creator may terminate only upon the Brand’s material breach that remains uncured thirty (30) days after written notice thereof.

7. Audit Rights

Creator may, not more than once per calendar year and upon thirty (30) days’ written notice, audit the Brand’s records relating to Net Revenue. If an audit reveals an underpayment exceeding five percent (5%), the Brand shall bear the cost of the audit.

8. Governing Law

This Agreement shall be governed by the laws of the State of New York. Any dispute shall be resolved exclusively in the state or federal courts located in New York County.

Reviewed from the perspective of Jordan Reyes (Creator).

  1. FavorableGeneral

    1. Engagement

You will make 4 short videos and 12 photos featuring Lumen’s Summit jackets, following the attached brief.

Deliverables are specific and countable, which limits scope creep.

  2. Red flagIntellectual property

    2. Content License

Lumen can use your videos, photos, name and face forever, anywhere, in any format — including formats that don’t exist yet — and can edit them, without paying you anything more.

Functionally a perpetual buyout of your likeness for a $4,500 fee. Push for a 12–24 month paid-media term, a separate fee for renewals, and approval over edits that change your message.

  3. FavorableIntellectual property

    3. Ownership

You still own the copyright in everything you make. Lumen only gets the license described in Section 2.

Good: copyright stays with you and the work-for-hire disclaimer is explicit. Its value is limited by how broad Section 2 is.

  4. FavorableRoyalties & money

    4. Compensation and Revenue Share

You get $4,500 within 30 days of delivering, plus 15% of sales made through your affiliate code, after returns, tax and shipping are taken out.

Net Revenue is narrowly defined (no vague “costs” deductions), and Net 30 is standard.

  5. AttentionGeneral

    5. Exclusivity

For the whole deal plus 12 months after it ends, you can’t do sponsored posts for other outdoor clothing brands.

The category is defined, which helps, but the tail runs a year past the deal with no extra pay. Ask for a shorter tail or an exclusivity fee.

  6. AttentionTermination

    6. Termination

Lumen can end the deal for any reason with 7 days’ notice. You can only end it if Lumen breaks the contract and doesn’t fix it within 30 days.

One-sided. Ask that early termination by the Brand still pays the full flat fee for content already delivered, and that the license in Section 2 ends on termination.

  7. FavorableRoyalties & money

    7. Audit Rights

Once a year, with 30 days’ notice, you can check Lumen’s sales records. If they underpaid you by more than 5%, they pay for the audit.

Creator-friendly: the cost-shifting threshold is at the favorable end of the usual 5–10% range.

  8. FavorableGeneral

    8. Governing Law

New York law applies and any lawsuit has to be filed in Manhattan.

Common for brand deals. If you live far from New York, ask for remote arbitration instead.
